Please read these terms carefully before using the Amaltash platform.

1. Acceptance of Terms

By accessing, browsing, or using the Amaltash platform ("Platform"), website, mobile applications, APIs, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Amaltash, Inc. ("Amaltash," "we," "us," or "our"), a Delaware corporation with principal offices at 2261 Market St, San Francisco, CA 94114, United States.

If you do not agree to all the terms and conditions of this agreement, you must not access or use our Services. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Account Eligibility and Creation

Age Requirement

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to create an account and use our Services. By registering, you represent and warrant that you meet this age requirement.

Geographic Restrictions

Our Services are not available to residents of jurisdictions where cryptocurrency trading or automated trading systems are prohibited or restricted by law. You are responsible for ensuring compliance with all local laws and regulations applicable to your use of the Services. The following jurisdictions are explicitly prohibited: North Korea, Iran, Syria, Cuba, Crimea region, and any other jurisdiction subject to comprehensive U.S. sanctions.

Account Registration

To access certain features of our Services, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

Account Verification

We may require identity verification (KYC) to comply with applicable laws and regulations. You agree to provide any additional documentation reasonably requested by Amaltash for verification purposes. Failure to complete verification may result in limited access to Services or account suspension.

3. Description of Service

Amaltash provides a technical infrastructure platform and automation tools that enable users to:

  • Build and deploy automated trading strategies through natural language conversation with AI
  • Connect their own cryptocurrency exchange accounts via API
  • Execute user-defined trading strategies automatically
  • Backtest strategies against historical market data
  • Access a marketplace of trading strategies created by other users
  • Subscribe to and deploy strategies published by other creators
  • Monitor and analyze strategy performance through dashboards and analytics

TECHNOLOGY PLATFORM NOTICE

Amaltash is solely a technology platform. We do not provide investment advice, recommendations, or make trading decisions on your behalf. All strategy creation, trading decisions, and capital management remain entirely under your control. We do not custody, hold, or manage your funds or cryptocurrency assets.

4. User Control and Responsibility

Full User Control

You maintain complete control over:

  • Your trading strategies and their parameters
  • Your exchange accounts and API connections
  • Your funds and cryptocurrency assets
  • All trading decisions executed by your automated strategies
  • The ability to modify, pause, or terminate your strategies at any time

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Securely managing your exchange API keys and permissions
  • Configuring appropriate API permissions (we recommend trade-only, no withdrawal permissions)
  • Enabling two-factor authentication where available
  • Notifying us immediately of any unauthorized access or security breach

Prohibited Conduct

You agree not to:

  • Use the Services for any illegal activities or in violation of applicable laws
  • Attempt to reverse engineer, decompile, or hack our systems
  • Share your account credentials with unauthorized parties
  • Use the Services to manipulate markets, engage in wash trading, or conduct market abuse
  • Violate any exchange terms of service or applicable trading regulations
  • Upload malicious code, viruses, or harmful content
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use automated tools to scrape, copy, or harvest data from the Platform

5. No Investment Advisory Services

IMPORTANT DISCLAIMER

Amaltash is NOT a registered investment advisor, broker-dealer, or financial planner. We do not provide personalized investment advice, tax advice, or legal advice.

You expressly acknowledge and agree that:

  • We do not recommend any specific trading strategies, assets, or investment decisions
  • Any strategies available on the Platform are created by users, not by Amaltash
  • Past performance of any strategy is not indicative of future results
  • We do not guarantee any returns or protection against losses
  • You should consult with qualified financial advisors before making investment decisions

Any information, data, analysis, or content provided through the Services is for informational purposes only and should not be construed as financial advice. You are solely responsible for evaluating the merits and risks of any trading strategy or investment decision.

6. Trading Risk Disclaimer

HIGH-RISK ACTIVITY WARNING

Trading cryptocurrencies and using automated trading strategies involves substantial risk of loss and is not suitable for all investors. You should carefully consider whether trading is appropriate for you in light of your financial condition.

By using our Services, you acknowledge and accept the following risks:

  • Market Risk: Cryptocurrency markets are highly volatile. Prices can fluctuate dramatically within short periods, potentially resulting in significant losses.
  • Strategy Risk: Automated trading strategies may perform differently in live markets compared to backtesting. Historical performance does not guarantee future results.
  • Technical Risk: System failures, connectivity issues, software bugs, or exchange outages may prevent strategy execution or cause unexpected trades.
  • Leverage Risk: If using leveraged products (futures, margin trading), losses can exceed your initial investment.
  • Liquidity Risk: In volatile markets, you may be unable to execute trades at expected prices due to slippage or lack of liquidity.
  • Regulatory Risk: Changes in laws or regulations may adversely affect your ability to trade or the value of your holdings.

YOU SHOULD ONLY TRADE WITH CAPITAL YOU CAN AFFORD TO LOSE ENTIRELY. Never invest money that you need for essential expenses, emergency funds, or retirement.

7. Fees and Payment

Amaltash may charge fees for access to and use of the Services, including but not limited to:

  • Subscription fees for platform access and premium features
  • Strategy subscription fees (for marketplace strategies)
  • Usage-based fees for API calls, backtesting, or compute resources
  • Transaction fees for certain operations

All fees are for technology services and platform usage, not for investment advice or fund management. Fee structures will be clearly disclosed on our pricing page and before you incur any charges.

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your designated payment method for all applicable fees.

We reserve the right to modify our fee structure with thirty (30) days' advance notice. Continued use of the Services after fee changes take effect constitutes acceptance of the new fees.

8. Intellectual Property

Amaltash Property

All content, features, functionality, software, code, designs, trademarks, logos, and other intellectual property comprising the Platform and Services are owned by Amaltash, Inc. and are protected by copyright, trademark, patent, and other intellectual property laws of the United States and international jurisdictions.

User-Generated Content

You retain ownership of trading strategies, parameters, and content you create on the Platform. By publishing a strategy to the marketplace, you grant Amaltash a non-exclusive, worldwide, royalty-free license to host, display, and distribute your strategy to subscribers, subject to the Strategy Publishing Agreement.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Amaltash without any obligation to compensate you or maintain confidentiality.

9. Service Availability and Technical Limitations

We strive to maintain high availability but cannot guarantee uninterrupted, error-free, or secure access to the Services. The Services are provided on an "as is" and "as available" basis.

Factors that may affect service availability include:

  • Scheduled maintenance and system updates
  • Unscheduled outages due to technical issues
  • Exchange API limitations, rate limits, or outages
  • Network connectivity problems
  • Force majeure events (natural disasters, war, government actions)

You acknowledge that technical failures may impact your automated trading. You are responsible for implementing appropriate safeguards, monitoring your strategies, and maintaining contingency plans.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMALTASH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any trading losses, missed trading opportunities, or financial damages
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Service interruptions, technical failures, or data loss
  • Actions or omissions of third parties, including exchanges
  • Automated strategy performance or unexpected behavior
  • Exchange API connectivity issues or data accuracy
  • Unauthorized access to your account due to your failure to maintain security

IN NO EVENT SHALL AMALTASH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO AMALTASH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Amaltash, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your trading activities and strategies
  • Any content you publish on the Platform
  • Your violation of applicable laws or regulations

12. Third-Party Services and Exchange Integration

Our Platform integrates with third-party cryptocurrency exchanges and services. You acknowledge that:

  • You must have a valid account with each exchange you wish to connect
  • You are subject to the terms, conditions, and policies of each exchange
  • We are not responsible for exchange policies, fees, outages, or service quality
  • Exchange API limitations or changes may affect Platform functionality
  • You must comply with all applicable exchange requirements and regulations
  • We do not endorse or guarantee the security or reliability of any exchange

Amaltash is not affiliated with any cryptocurrency exchange unless explicitly stated. Your relationship with exchanges is separate from your relationship with Amaltash.

13. Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to access the Services will cease immediately.

Termination by Amaltash

We may suspend or terminate your account and access to Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Failure to pay applicable fees
  • Request by law enforcement or government agencies
  • Discontinuation of Services (in whole or in part)

Effect of Termination

Upon termination: (a) all running strategies will be stopped; (b) your access to the Platform will be revoked; (c) we may delete your account data after a reasonable retention period; (d) any accrued obligations survive termination.

14. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@amaltash.com. We will attempt to resolve the dispute within thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in San Francisco, California, unless mutually agreed otherwise.

Class Action Waiver

YOU AND AMALTASH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through: (a) email notification to your registered address; (b) prominent notice on the Platform; or (c) in-app notification.

Changes will become effective thirty (30) days after posting, unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must discontinue use of the Services before the changes take effect.
