Strategy Publishing Agreement

Terms and conditions for strategy creators who publish trading strategies on the Amaltash marketplace.

1. Introduction and Scope

This Strategy Publishing Agreement ("Publishing Agreement") constitutes a legally binding agreement between you ("Publisher," "Creator," "you," or "your") and Amaltash, Inc. ("Amaltash," "we," "us," or "our") governing your publication and distribution of trading strategies ("Strategies") on the Amaltash marketplace.

This Publishing Agreement supplements the Amaltash Terms of Service. By publishing a Strategy, you agree to both this Publishing Agreement and the Terms of Service. In the event of a conflict, this Publishing Agreement shall govern with respect to strategy publishing activities.

Publishing a Strategy on Amaltash creates a direct relationship between you and users who subscribe to your Strategy ("Subscribers"). This relationship carries significant responsibilities, as your Strategy will directly affect Subscribers' live trading accounts and capital.

IMPORTANT NOTICE

By publishing a Strategy, you accept responsibility for the potential impact on Subscribers' trading accounts. Negligent or malicious modifications may result in legal liability and permanent account termination.

2. Publisher Eligibility Requirements

Basic Requirements

To publish Strategies on Amaltash, you must meet the following requirements:

  • Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction
  • Have an active Amaltash account in good standing
  • Complete identity verification (KYC) as required
  • Agree to this Publishing Agreement and the Terms of Service
  • Provide accurate tax information for revenue sharing purposes

Verified Creator Program

Amaltash offers a Verified Creator Program with enhanced visibility and features. Verification requirements include:

  • Completion of enhanced identity verification
  • Demonstrated trading experience or credentials
  • Minimum performance track record on the platform
  • Agreement to additional verification terms

Revocation of Privileges

Amaltash reserves the right to revoke publishing privileges at any time if eligibility requirements are no longer met or for any violation of these terms.

3. Fiduciary Responsibility to Subscribers

CRITICAL OBLIGATION

As a Strategy Publisher, you have a fiduciary-like duty to act in the best interests of your Subscribers. Your Strategy directly controls trading decisions on Subscribers' live accounts with real capital at risk.

Duty of Care

You acknowledge and agree that you have a duty of care to your Subscribers, which includes:

  • Acting in Good Faith: Making strategy decisions that are reasonable and in the interest of generating positive returns, not self-dealing or causing intentional harm
  • Exercising Reasonable Judgment: Applying appropriate skill and diligence in strategy design, testing, and modifications
  • Avoiding Conflicts of Interest: Disclosing any material conflicts that could affect your Strategy's operation or recommendations
  • Providing Accurate Information: Ensuring strategy descriptions, risk disclosures, and performance data are truthful and not misleading

Duty of Loyalty

You shall not prioritize your own interests over those of your Subscribers. This includes:

  • Not front-running your own Strategy's trades
  • Not using Subscriber activity data for personal trading advantage
  • Not modifying Strategies to benefit yourself at Subscribers' expense
  • Treating all Subscribers fairly and equally

4. Quality Standards and Testing Requirements

Pre-Publication Testing

Before publishing any Strategy to the marketplace, you must:

  • Conduct thorough backtesting using historical market data
  • Validate Strategy logic and ensure it functions as intended
  • Test across multiple market conditions (trending, ranging, volatile)
  • Document expected behavior, risks, and limitations
  • Verify that position sizing and risk parameters are appropriate

Strategy Documentation

Each published Strategy must include:

  • Clear Description: Explanation of the Strategy's approach, logic, and intended market conditions
  • Risk Disclosure: Honest assessment of potential risks, including maximum drawdown expectations
  • Capital Requirements: Minimum recommended capital for effective operation
  • Asset/Market Scope: Clear indication of which assets or markets the Strategy trades
  • Update Policy: How frequently the Strategy may be updated and for what reasons

Performance Claims

When displaying performance data:

  • Past performance must be clearly labeled with time periods and conditions
  • Backtested results must be clearly distinguished from live trading results
  • You must not guarantee returns or misrepresent potential profits
  • Risk metrics must be displayed alongside return metrics

5. Prohibited Conduct

As a Strategy Publisher, you are strictly prohibited from the following activities:

Malicious Actions

  • Publishing Strategies designed to cause losses for Subscribers
  • Intentionally manipulating Strategy performance metrics
  • Embedding malicious code or harmful functionality
  • Using Strategies to conduct market manipulation, wash trading, or fraud
  • Sabotaging Subscribers' positions through intentional bad modifications

Negligent Behavior

  • Publishing untested or insufficiently tested Strategies
  • Making modifications without adequate testing or consideration of impact
  • Ignoring known bugs or issues that could harm Subscribers
  • Failing to monitor Strategy performance and address problems

Misleading Practices

  • Making false or misleading claims about Strategy performance
  • Omitting material risks or limitations
  • Copying or plagiarizing other creators' Strategies without permission
  • Misrepresenting your qualifications, experience, or credentials
  • Using fake reviews or testimonials

WARNING

Violation of these prohibitions may result in immediate account termination, forfeiture of all pending payouts, and legal action. You may be held personally liable for damages caused to Subscribers.

6. Strategy Modifications and Updates

Modification Requirements

When modifying a published Strategy that has active Subscribers, you must:

  • Thoroughly test all changes before applying them to the live Strategy
  • Consider the impact on Subscribers' existing open positions
  • Document the nature and rationale for the changes
  • Ensure modifications do not fundamentally change the Strategy's risk profile without notice

Modification Acknowledgment

Each time you apply changes to a live Strategy, you acknowledge that:

"By applying these changes, I acknowledge that I am updating a live trading strategy. If this Strategy has active Subscribers, these changes will immediately impact their deployed algorithms and any open positions.

As a Strategy creator, I have a fiduciary responsibility to act in the best interest of my Subscribers. I have ensured that any modifications are thoroughly tested and do not expose Subscribers to undue risk.

I understand that Amaltash reserves the right to restrict or terminate my account if we determine that changes were made negligently, maliciously, or in violation of platform policies. I may be held legally responsible for losses resulting from bad-faith modifications."

Material Changes

For material changes that significantly alter Strategy behavior (e.g., changing asset classes, risk parameters, or core logic), you should notify Subscribers before implementation when possible.

7. Impact on Subscriber Positions

Understanding the Impact

You expressly acknowledge and understand that:

  • Your Strategy executes real trades on Subscribers' connected exchange accounts using their actual capital
  • Strategy modifications take effect immediately for all active Subscribers
  • Poorly designed or buggy Strategies can cause significant financial losses
  • Subscribers have open positions that may be affected by Strategy changes, including forced liquidations or unexpected trades

Position Management

You must consider the following when modifying Strategies with Subscribers who have open positions:

  • Changes to exit logic may cause unexpected position closures
  • Changes to position sizing may affect risk exposure
  • Changes to asset selection may leave orphaned positions
  • Emergency changes should be communicated to Subscribers when possible

Strategy Deprecation

If you choose to discontinue a Strategy:

  • Provide reasonable notice to Subscribers (minimum 7 days recommended)
  • Allow Subscribers time to close positions and unsubscribe
  • Do not abruptly terminate a Strategy with active positions

8. Revenue Sharing and Compensation

Revenue Model

Publishers earn revenue through subscription fees paid by Subscribers. The revenue share structure is:

  • Publisher Share: 70% of net subscription revenue (after payment processor fees)
  • Platform Share: 30% retained by Amaltash for platform operation, hosting, and support

Pricing

You may set your Strategy subscription price within platform guidelines. Amaltash reserves the right to establish minimum and maximum pricing tiers. Price changes for existing Subscribers require notice.

Payouts

Revenue payouts are subject to the following terms:

  • Minimum payout threshold: $50 USD (or equivalent)
  • Payout schedule: Monthly, processed within 15 days of month end
  • Payment methods: Bank transfer, PayPal, or cryptocurrency (as available)
  • Tax reporting: You are responsible for all applicable taxes on earnings

Refunds and Chargebacks

If a Subscriber requests a refund or initiates a chargeback within 7 days of subscription:

  • The corresponding revenue share will be deducted from your earnings
  • Excessive refund rates may result in Strategy review or suspension
  • Fraudulent chargebacks will be disputed on behalf of Publishers

9. Intellectual Property Rights

Ownership

You retain ownership of your Strategy logic, parameters, and any original content you create. Publishing a Strategy does not transfer ownership to Amaltash or Subscribers.

License Grant

By publishing a Strategy, you grant Amaltash:

  • A non-exclusive, worldwide license to host, display, and distribute your Strategy on the platform
  • The right to execute your Strategy on behalf of Subscribers' accounts
  • The right to display Strategy statistics, performance data, and descriptions
  • The right to use your Strategy name and description in platform marketing

Subscriber License

Subscribers receive a limited license to use your Strategy for personal trading only. Subscribers may not: reverse engineer the Strategy, resell or redistribute it, or use it for commercial purposes beyond their own trading.

Confidentiality

Amaltash will treat your Strategy implementation details as confidential. The underlying code and logic will not be exposed to Subscribers. However, performance metrics and general descriptions are publicly visible.

10. Representations and Warranties

Your Representations

By publishing a Strategy, you represent and warrant that:

  • You have the legal right and authority to publish the Strategy
  • The Strategy does not infringe on any third-party intellectual property rights
  • All performance claims and descriptions are truthful and not misleading
  • The Strategy does not contain malicious code or harmful functionality
  • You have conducted appropriate testing before publication
  • You will comply with all applicable laws and regulations
  • You are not publishing from a jurisdiction where such activity is prohibited

Disclaimer

You acknowledge that Amaltash does not guarantee Strategy performance or suitability for any particular purpose. Strategies are provided "as is" by Publishers.

11. Account Restrictions and Enforcement

Amaltash's Rights

Amaltash reserves the right to take the following actions at our sole discretion:

  • Strategy Suspension: Temporarily disable a Strategy pending investigation
  • Strategy Removal: Permanently remove a Strategy from the marketplace
  • Publishing Restriction: Revoke your ability to publish new Strategies
  • Account Suspension: Temporarily suspend your Amaltash account
  • Account Termination: Permanently terminate your account and access to Services
  • Payout Withholding: Withhold pending payouts pending investigation or resolution

Grounds for Action

Actions may be taken for:

  • Violation of this Publishing Agreement or Terms of Service
  • Negligent or malicious Strategy modifications
  • Subscriber complaints or excessive refund rates
  • Suspected fraudulent or harmful activity
  • Legal or regulatory requirements
  • Protection of platform integrity or other users

Appeals

If you believe action was taken in error, you may appeal by contacting publishers@amaltash.com within fourteen (14) days. Appeals will be reviewed, but Amaltash's decision is final.

12. Indemnification

You agree to indemnify, defend, and hold harmless Amaltash, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your Strategies, including their design, implementation, and performance
  • Subscriber losses or damages resulting from your Strategies
  • Your breach of this Publishing Agreement or Terms of Service
  • Your violation of any third-party rights or applicable laws
  • Claims by Subscribers or third parties against Amaltash related to your activities
  • Negligent or malicious modifications to your Strategies

13. Termination

Voluntary Termination

You may stop publishing Strategies at any time by removing your Strategies from the marketplace. Existing Subscribers must be given reasonable notice (minimum 7 days) before Strategy termination.

Effect of Termination

Upon termination of this Publishing Agreement:

  • Your publishing privileges will be revoked
  • Active Strategies will be disabled for new subscriptions
  • Existing Subscribers will be notified and given time to transition
  • Pending payouts will be processed according to standard schedules (unless withheld for cause)
  • Obligations under Sections 3, 5, 12, and 13 survive termination

By publishing a Strategy on the Amaltash marketplace, you acknowledge that you have read, understood, and agree to be bound by this Strategy Publishing Agreement, the Amaltash Terms of Service, and our Privacy Policy.
